Terms of service — draft for counsel review

This draft describes how CDSBench works so that the final terms can be accurate. It has not been reviewed by a lawyer and is not yet the operative agreement. Sections marked counsel need professional legal drafting.

DRAFT — requires review by qualified counsel before public launch. Nothing here is legal advice.
1

The service

CDSBench is a public benchmark that measures AI models on verified historical credit-derivatives cases, and Mastermind is a private analysis workspace that applies CDSBench’s reasoning system to documents you provide. Results are informational: they are produced by software and are not legal, investment or trading advice, and they do not replace a determinations committee, counsel or your own judgement. (counsel: liability and no-advice wording)

2

Your uploads and your responsibility

You may upload documents you have the right and authority to use for analysis. You are responsible for that authority. CDSBench treats every upload as customer-private: it is stored against the email you give, processed for your analysis only, sent to the configured model providers for that purpose only, never added to the public benchmark, never searchable and never used to train models. Your authority to upload is not treated by CDSBench as a licence to redistribute anything publicly; publication of a case you contribute is a separate, explicit request that is reviewed before any part of it becomes public. (counsel: warranty of authority, indemnity)

3

Public content and what you may reuse

Benchmark results (scores, model answers, failure classifications, reports, CSV/JSON exports) may be reused with attribution to CDSBench and a link to the source page. Source documents shown on CDSBench belong to their publishers and are shown only to the extent their terms permit; reuse them under the publisher’s terms, not ours. CDSBench’s own structured layer — case relationships, verified outcomes, benchmark questions, model outputs, failure taxonomy — is CDSBench’s. (counsel: licence grant for results; reservation of rights)

4

Billing

The free allowance is 1 completed private analysis per email address; failed runs never count. Paid plans are billed through Stripe-hosted checkout; prices are those shown on /pricing at purchase and are kept for the life of a subscription. Cancellation takes effect at the end of the paid period. Billing questions: billing@cdsbench.com. (counsel: refunds, VAT, consumer-law notices)

5

Accuracy, corrections and availability

Every number on CDSBench derives from a stored run; errors are corrected in a public log and affected results re-run. Benchmark labels rest on independently verified outcomes and on sources whose terms permit public benchmark use; a question that fails either gate is excluded. The service is provided as is, may change, and may be unavailable at times. (counsel: warranty disclaimer, limitation of liability)

6

Rights holders

Copyright, licensing, correction and takedown requests: rights@cdsbench.com. See the data policy for how requests are handled.

7

Trademarks

Model and publisher names are used to identify the systems measured and the sources cited. No endorsement, sponsorship or partnership is implied. (counsel: nominative use)

8

Governing law and changes

(counsel: governing law, venue, change-of-terms mechanics, entity name and address.)
